IMPORTANT: By placing orders and making payment, you have read and accepted all the terms and conditions listed below.

Research Use Only

LJ Synergy Inc. materials will be used exclusively for scientific research purposes.

The materials and products for sale here are SOLELY intended for laboratory and research use only. Purposes NOT intended for products include, but are not limited to:

In vitro diagnostic
Foods, drugs, medical devices, or cosmetics
Commercial purposes
Any general consumptive purpose
Animal and/or human use

Buyer covenants to use products exclusively for research or industrial purposes and strictly NOT FOR HUMAN USE.

Product Safety and Testing

Buyer acknowledges that the products have NOT been tested by supplier for safety, efficiency, or efficacy in food, drug, medical device, cosmetic, commercial, or any other use.

Buyer represents and warrants to supplier that Buyer will:

Properly test and use any products purchased from supplier
Test materials produced with products purchased from supplier in accordance with expert scientific practices
Comply strictly with all applicable state and federal laws and regulations now and hereafter enacted

Buyer further warrants to supplier that any material produced with products from supplier shall meet all applicable quality standards.

Buyer Responsibilities

The buyer has the responsibility to:

Verify the proper handling requirements of products purchased
Conduct any further research necessary to understand safe usage protocols
Comply with instructions by supplier relating to the use of the products
Not violate the expressed prohibitive use of said products in any manner
Adopt and use all necessary safety precautions
Abide by all local, state/provincial, and federal government regulations in accordance with the use of any product or service provided by LJ Synergy Inc.

Export Restrictions

Products are not to be exported from Canada. Buyer agrees to comply with instructions by supplier relating to the use of the products and not violate the expressed prohibitive use of said products in any manner.

Payment Terms

Accepted Payment Methods: We accept major credit cards (Visa, Mastercard, American Express), debit cards, and other payment methods as displayed at checkout.

Payment Currency: All prices are in Canadian Dollars (CAD) unless otherwise specified.

Payment Due: Payment is due in full at the time of order placement. Orders will not be processed or shipped until payment is received and verified.

Payment Processing: Payment information is processed securely through PCI-DSS compliant third-party payment processors. LJ Synergy Inc. does not store complete credit card information on our servers.

Failed Payments: If payment authorization fails, we will notify you via email. Orders with failed payments will be cancelled automatically after 48 hours if payment issues are not resolved. We reserve the right to cancel orders for any payment-related issues including suspected fraud.

Pricing Errors: We reserve the right to correct pricing errors on our website or on pending orders. If a product’s correct price is higher than stated, we will contact you before processing your order. You will have the option to accept the correct price or cancel your order for a full refund.

Professional Qualifications

By agreeing to the aforementioned and subsequent acknowledgement of the remainder of said disclaimer, you are affirming that you are, the equivalent or of greater academic certification, a Laboratory Technologist or Technician.

Regulatory Compliance

LJ Synergy Inc. operates in full compliance with Canadian regulations. Buyer has the responsibility for fully researching and complying with all applicable regulations in their country of residence.

Limitation of Liability

In no event shall LJ Synergy Inc. or any of its directors, officers, agents, or affiliates be liable for special, incidental, or consequential damages whether purchase claim in contract, negligence, strict liability, or otherwise.

LJ Synergy Inc. absorbs NO liability in the form of compensatory damages. By continuing, by means of accepting subsequent and aforementioned conditions, you waive your right to litigation against LJ Synergy Inc.

Indemnification

Purchaser agrees to indemnify and hold LJ Synergy Inc. harmless from all claims, expenses, losses, and liability of any nature whatsoever arising out of purchaser handling and/or use of any product sold here.

The buyer agrees to indemnify and hold harmless LJ Synergy Inc., its present and future suppliers, agents, owners, shareholders, and employees, as the case may be, for and against any and all losses, damages, and expenses, including legal fees and other costs of defending any action (on a solicitor-client basis) that LJ Synergy Inc. may sustain or which may occur as a result of any claim arising from use of any product or services provided.

Legal Notice

All notices from ljsynergy.ca to you may be posted on our website and will be deemed delivered within thirty (30) days after posting. Notices from you to ljsynergy.ca shall be made either by email or sent to the address we provide on our website.

Delivery shall be deemed to have been made by you to ljsynergy.ca five (5) days after the date sent.

Shipping & Delivery

At this time, ljsynergy.ca ships merchandise to locations all over Canada and to countries in compliance with local law. We offer domestic and international shipping through various carriers and methods.

The risk of loss and title for all merchandise ordered on this website passes to you when the merchandise is delivered to the shipping carrier.

Sales Tax

LJ Synergy Inc. charges sales tax for merchandise ordered on this website based on the applicable provincial sales tax rate and the location to which the order is being shipped.

Void Where Prohibited

Although the information on this website is accessible worldwide, not all products or services discussed in this website are available to all persons or in all geographic locations or jurisdictions.

Governing Law

In the event of litigation, both parties agree that the Law of the Province of business registration of ljsynergy.ca shall apply and both parties shall consent to the jurisdiction of said Province’s courts. Both parties expressly waive a trial by jury.

Force Majeure

LJ Synergy Inc. shall not be liable for any failure or delay in performance under these Terms and Conditions due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (earthquakes, floods, fires, storms, pandemics)
War, terrorism, civil unrest, or government actions
Labor disputes or strikes
Supply chain disruptions or supplier failures
Telecommunications or internet failures
Power outages or equipment failures
Transportation delays or shipping carrier issues
Any other events beyond our reasonable control

In the event of a Force Majeure occurrence, our obligations under these Terms shall be suspended for the duration of such event. We will make reasonable efforts to notify affected customers and resume performance as soon as reasonably possible. If the Force Majeure event continues for more than 30 days, either party may terminate the affected order without liability.

Dispute Resolution

Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or your use of our products or services, you agree to first attempt to resolve the dispute informally by contacting us at info@ljsynergy.ca. We will attempt to resolve the dispute through good faith negotiations within 30 days.

Mediation: If informal resolution is unsuccessful, both parties agree to attempt mediation before pursuing litigation or arbitration. Mediation shall be conducted by a mutually agreed-upon mediator in accordance with Canadian mediation procedures. Each party shall bear its own costs of mediation, with the mediator’s fees split equally.

Arbitration (Optional): If mediation fails to resolve the dispute within 60 days, either party may elect binding arbitration as an alternative to litigation. Arbitration shall be conducted in accordance with the rules of the ADR Institute of Canada. The arbitration shall take place in British Columbia, Canada, and shall be conducted in English. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Small Claims Court Exception: Either party may bring an individual action in small claims court for disputes within the court’s jurisdiction, without first engaging in mediation or arbitration.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and LJ Synergy Inc. with respect to this website. The Terms and Conditions supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and LJ Synergy Inc. with respect to this website.

No modification of the Terms and Conditions shall be effective unless it is authorized by LJ Synergy Inc. If any provision of the Terms and Conditions is found to be contrary to law, then such provision(s) shall be constructed in a manner to closely reflect, as much as possible, the intentions of the parties, with the other provisions remaining in full force and effect.
